These Terms of Use (the “Terms”) govern your access to and use of franchising.seaglass.com (the “Site”), operated by Sea Glass Franchising, LLC, a Florida limited liability company (“Sea Glass,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

1. Purpose of the Site; No Offer of a Franchise

The Site provides general information about the Sea Glass franchise opportunity. Nothing on this Site constitutes an offer to sell, or the solicitation of an offer to buy, a franchise. A franchise offer can be made only through delivery of our current Franchise Disclosure Document (FDD) in accordance with applicable federal and state law. In certain states, franchises may be offered and sold only if we are registered (or exempt from registration) in that state; the Site and its contents are not directed to residents of any state in which we are not so registered or exempt.

This advertisement is not an offering. An offering can only be made by a prospectus filed first with the Department of Law of the State of New York. Such filing does not constitute approval by the Department of Law. 

Information on the Site regarding investment levels, market conditions, or franchisee experiences is provided for general context only and is qualified in its entirety by the FDD. We make no representations about potential financial performance except as set forth in Item 19 of our FDD.

2. Eligibility

The Site is intended for adults aged 18 or older who are exploring franchise ownership. By using the Site, you represent that you meet this requirement.

3. Intellectual Property

The Site and all of its content — including text, photographs, graphics, logos, page design, and software — are owned by or licensed to Sea Glass and are protected by copyright, trademark, and other intellectual property laws. SEA GLASS and related marks and logos are trademarks of [confirm mark owner — Sea Glass Franchising, LLC or an affiliate]. We grant you a limited, revocable, non-exclusive license to view and use the Site for your personal, non-commercial evaluation of the franchise opportunity. You may not copy, reproduce, republish, distribute, scrape, frame, or create derivative works from the Site without our prior written permission.

4. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;
  • Submit false or misleading information through our inquiry forms;
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Site;
  • Interfere with the Site’s operation or security, or attempt to gain unauthorized access to any systems or data; or
  • Impersonate any person or misrepresent your affiliation with any organization.

5. Information You Submit

When you submit information through the Site — such as a franchise inquiry form — you represent that the information is accurate and that you are authorized to provide it. Our collection and use of personal information is described in our Privacy Policy. Communications through the Site do not create a franchise, agency, partnership, or fiduciary relationship between you and Sea Glass.

6. Independently Owned and Operated Offices

Each Sea Glass office is independently owned and operated by a franchisee. Franchisees are not agents, employees, or joint venturers of Sea Glass, and Sea Glass is not responsible for the acts or omissions of any franchisee. Links to franchisee or other third-party websites are provided for convenience; those sites have their own terms and privacy practices, and we are not responsible for their content.

7. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SEA GLASS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND NOTHING IN THESE TERMS IS INTENDED TO WAIVE OR LIMIT ANY RIGHTS YOU MAY HAVE UNDER FEDERAL OR STATE FRANCHISE LAWS.

9. Indemnification

You agree to indemnify and hold harmless Sea Glass and its officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your misuse of the Site.

10. Governing Law and Venue

These Terms are governed by the laws of the United States Virgin Islands, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site will be brought exclusively in the courts located in St. Thomas, U.S. Virgin Islands, and you consent to personal jurisdiction and venue there. 

11. Changes to the Site and These Terms

We may modify, suspend, or discontinue the Site at any time. We may also revise these Terms from time to time; the updated version will be posted with a new effective date, and your continued use of the Site after changes take effect constitutes acceptance. We may suspend or terminate access to the Site for any violation of these Terms.

12. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and Sea Glass regarding use of the Site. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
